1. Stimulations
1.1. It is a condition of membership that the Member agrees to these Terms of Use (the "Terms of Use" or "Agreement"), which form a legally binding contract, in order to become a Member of Mioola. As Mioola business is constantly evolving and Mioola introduces new products and services over time, these Terms of Use may be amended from time to time. Mioola reserves the right to amend these Terms of Use at any time by posting the amended Terms of Use on the Mioola website. Amended Terms of Use shall become effective 30 days after they are posted on the Mioola website. Changes will be marked bold on Mioola website. Member may review changes at any time. Member may review the current Terms of Use at any time by clicking on the Terms & Conditions section on the Mioola website.
1.2. The Parties to this Agreement are the person or legal entity (the 'Member' or 'User') and Mioola Inc. (the 'Company' or 'Mioola'), which offers an online advertising service.
1.3. Mioola and the Member are the only parties who may rely on or enforce these Conditions.
2. Description of Service
2.1. Mioola operates an Internet advertising network service that allows User to advertise a website on Mioola Network(the "Service").
2.2. All advertising regulations are set forth on Mioola web site.
2.3. Funds and Credits stored on the Members's user account have no expiration date, until the account is inactive for 90 days.
2.4. Mioola offers free service and does not require any payments from the User to advertise on Mioola network, however Users can purchase several membership benefits.
3. Membership
3.1. User and in case of a legal person the authorised representative must be at least 18 years old to use the Mioola Service.
3.2. User may only open an account by completing the online membership application form. A Member must maintain an active email address to become a Member and may not provide any false, inaccurate, incomplete or misleading information. Customer must not provide any name, bank account or credit card that he is not legally authorised to use. User is responsible to ensure that the details provided at registration and later are kept up to date. Mioola reserves the right to request further information pertaining to Members's account at any time. Failure to supply such information may result in limitation on usage of the Service or suspension of the account.
3.3. Each person is only entitled to open one account. The Company reserves the right to close the account of any Member who has opened multiple accounts on his/her name.
3.4. There is no interest paid on any monies held in a Member account.
3.5. Some Members may be eligible to participate in a bonus programs. Said bonus programs, as to their conditions, amount and issuance, shall be subject to the discretion of the Company, and shall be non-transferable and non-refundable. Any bonus offered by the Company is limited to one per household.
3.6. Company will ensure that all personal details of the Member are held in accordance with the Data Protection Act and the Company's published privacy statement.
3.7. By opening an account, Member will be able to, Advertise a website, participate in free and paid advertising program, purchase advertising and withdraw money from his/her account.
3.8. Mioola reserves the right in its own discretion to charge a fee for withdrawing money or crediting commissions.
4. Login
4.1. The password should not be disclosed to any third party. Member is solely responsible for the security of his/her user name and password.
4.2. Every person who identifies him/herself by entering the correct login email and password is assumed by Mioola to be the rightful account holder/Member and all account actions where the login email and password have been entered correctly will be regarded as valid.
5. Advertising a Website on Mioola Network
5.1. In order to advertise a website on Mioola network, User needs to create an advertising campaign, entering the site/page URL, title, description and other mandatory information( in accordance to Mioola ad guidelines). After these actions are completed and approved by Mioola the campaign becomes active on Mioola network.
5.2 It is strictly forbidden to advertise:
+ illegal material such as pirated software, ware sites.
+ any programming that causes it to break out of frame
+ virus website
+ Website that prompt the user to download.
+ Website that prompt the user to set their homepage to that Web site or other URL.
+ Website that redirect to another Web site.
+ Website that loads a pop-up (includes exit pop-ups) or pop-under.
5.3 Mioola can any time suspend a site that is appropriate or is in any other kind of not acceptable to Mioola network.
6. Credits
6.1. The way Members keep score in this exchange of visits and links is through a credit system. Credits and people who click on a Member Ad(s) are related. Amount of credits is equal to amount of clicks/visitors. Credit rates can be changed at any time by Mioola.
6.2. User can earn free credits by placing Mioola Ads(ad box or banner ad box) on his/her website, using the code generated by Mioola system only. Users account will be credited ever time(24 hour unique) his/her website visitor clicks on one of the ad links/image links.
6.3. Users can earn free clicks by using Mioola search system or placing Mioola search system(search box) on his/her website. Every time someone performs a search the user will be credited for it and his/her account will be credited. User can find his/her personal search link and other personal codes in his/her personal account(member area).
6.4. User can earn free Credits by surfing Mioola surfing exchange system.
6.5. User can earn free clicks by referring other people via his/her personal referral link to Mioola. Member is credited for every new people she/he refers.
7. Advertising Purchase
7.1. User is able to purchase clicks/credits and premium membership/account that include several advertising benefits to advertise on Mioola network.
7.2. Mioola accepts payments via PayPal™ and credit/debit card(2CheckOut™) payments.
7.3. Purchases are processed within 24 hours in business days after the payment for the purchase has been successfully made.
7.4.The Company will NOT issue refunds on membership fees, regardless of whether that has started or not. The Company will also NOT issue any refunds on purchases of advertising.
8. Referring
8.1. As an User of Mioola, you agree not to send out any unwanted email promotion (SPAM) regarding the Mioola Web site and/or any of its products or services. You agree to only send out messages to individuals who you personally know or individuals who have asked specifically or agreed to receive advertisements/offers from you. Mioola exercises a ZERO tolerance on SPAM and your account will be revoked immediately if you are found to be spamming others.
8.2. As an User of Mioola, you will be given a unique link to promote the Mioola Web site to others. You agree to only send out your referral link to individuals who you personally know or individuals who have asked specifically or agreed to receive advertisements/offers from you. Please refer to clause 8.1 above regarding our policy on SPAM.
8.3. As an User of Mioola you agree not to misrepresent the Mioola Web site or any of the services and/or opportunities found within. Any misrepresentation will result in the immediate removal of your account with us which will cause all credits and/or money in your account to be lost.
8.4. As an User of Mioola, you may voluntarily refer other individuals to the Mioola Web site. If the individual is being referred through the unique referral link we provide to all Users, and should that individual continue on to sign up, then the new individual will become a part of users downline as a new Mioola Member. You agree, however, not to hold Mioola liable for any lost or misdirected referrals regardless of the cause including negligence.
9. Redemption
9.1. User can earn money with Mioola referral program. User will earn 10% to 20% of account referral purchases.
9.1. Customer can request a cash withdrawal at any time if the account cash balance is at least $30(USD) by logging into his/her account and following the instructions in the 'Member Page' section.
9.2. Mioola is responsible to process the payment of the User within 7 business days to Users PayPal™ account.
9.2. Member must provide correct and valid PayPal™ account ID(Email) so the Company can send the payment.
10. Removal of Account
10.1. User may at any time remove his/her account by simply logging into the account and going into his/her "Cancel Account " section of the site("Members"or"Member Page" -> footer menu "Cancel Account") and entering his/her password and clicking on the link found there. Alternatively, User may have their membership revoked by the Company if the Company deems that User to be in violation of any of the terms as set out in the Agreement. The Company also reserves the right to refuse or cancel the account of any User found to be defrauding the system in any way, or in any case where the Company feels that the User is not acting in the best interest of the Company. If an User should have their account cancelled for any reason, that User will lose all credit balance(whether earned or purchased) and will forfeit any remaining money in any of the accounts associated with that membership.
11. Legal Policies and Guidelines
11.1. The Company reserves the right to refuse or cancel the account of any User found to be in violation of any of the terms as set out in this Agreement, or if the Advertiser is found to be defrauding the system in any way. The Company will also terminate the membership of any User it feels is not acting in the best interest of the Company. In the event of a major violation, The Company will bring legal action against the User found to be guilty of such violation. If User does not login into his/her account more than 90 consecutive days then the account will be terminated and User will forfeit all prior earnings.
11.2. User agrees to take full responsibility for his/her actions while using any of the services or products found on the Mioola Web site. The User also takes full responsibility for any statements made, whether verbal or written, regarding the Company, the Mioola Web site, its products, services, or referral program. Users agree to indemnify and hold harmless the Company, its directors, affiliate officers, employees, and shareholders from any claim or demand whatsoever relating to or arising out of the User's use of the Mioola Web site and/or any of the services/products found within.
11.3. User agree to not hold liable the Company for any loss of data that might occur while the User is using the Mioola Web site and all services and products contained within. Loss of data includes, but is not limited to, any account balances, credits, downline Users, money (cash), and statistics. The Company agrees to make every effort within its reasonable power to ensure that such loss of data never occurs, and the Company will make every effort within reason to correct any such loss of data. Users also agree to not hold liable the Company for any damage that may arise to the Users's computer, software, or other products while using the Mioola Web site and all services and products contained within.
11.4 Users agree to not hold liable the Company for any consequences or damage that may arise as the direct or indirect result of any action or circumstance beyond the Company's control, such as earthquakes, fire, flood, acts of terrorism, acts of God, computer hacking, and any other natural or unnatural disaster that may occur.
11.5. Any rules and regulations described within the Mioola Web site are hereby declared as extensions of this Agreement and as such, all Users agreeing to this Agreement are declaring that they will abide by the rules and regulations that are set forth on the Mioola Web site.
11.6. Users hereby declare that they will use the Mioola Web site and the services and products contained within in a lawful manner. Mioola Inc. will immediately prosecute any individuals found to be using the Web site and/or any of its services in an unlawful manner.
